Terms of Service

Acceptance

By accessing inventdb.com (the "Website") or by creating an account, subscribing to, or otherwise using InventDB SOAR or InventDB Serverless (together, the "Services"), you agree to these Terms of Service. If you do not agree, do not use the Website or the Services.

Definitions

"Services" means the InventDB hosted products operated by InventDB Software LLP — InventDB SOAR (the AI-driven business platform, including the AI Canvas, the management console, and the InventDB AI Gateway) and InventDB Serverless (the pure database exposing MCP, SQL, and REST surfaces) — together with all updates, patches, and documentation.

"Licensor" or "we" means InventDB Software LLP, operating at inventdb.com.

"Subscriber" or "you" means the individual or legal entity that has subscribed to use the Services.

"Instance" means the isolated, single-tenant workspace — your own private encrypted volume and process — provisioned for a single Subscriber on our managed AWS infrastructure.

"AI Gateway" means the Licensor-operated proxy through which AI inference requests from InventDB SOAR are routed to Anthropic, with the no-training opt-out applied at the Anthropic API level. InventDB Serverless has no built-in AI and does not use the AI Gateway.

The Services

InventDB Software LLP operates two hosted, cloud-only products. InventDB SOAR is the AI-driven business platform with a bundled AI model that "shows the SQL to verify." InventDB Serverless is a pure, fast database with no built-in AI; it exposes MCP, SQL, and REST surfaces so external AI agents you choose can connect to it. Both run on our managed AWS infrastructure on your own private encrypted Instance, scale to 250M records, and require no installation. The specific plan, size, and pricing you select at signup, as displayed on the pricing page, form part of these Terms and govern your subscription.

License & permitted use

Subject to these Terms and payment of the applicable fees, the Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services during your active subscription period. The Website is provided for informational purposes about InventDB; you may browse, read, and link to public pages.

• Use the Services for the purpose corresponding to your subscription tier — personal, non-commercial use on Personal tiers; commercial or organizational use on Business tiers.
• Personal tiers are for use within a single household; Business tiers are for use within your single legal entity by employees, contractors, and authorized affiliates.
• Connect MCP-compatible AI clients (Cursor or your own agent) to your Instance via the Services' authorization flow — every call bounded by the caller's role and row rules.

Restrictions

You must not:

1. Reverse engineer, decompile, or attempt to extract the source code of the Services.
2. Resell or sublicense access to your Instance or your subscription credentials, or provide a hosted "as-a-service" offering of the Services themselves to third parties.
3. Use a Personal tier subscription for commercial or organizational purposes.
4. Scrape or harvest Website content for redistribution without permission.
5. Attempt to gain unauthorized access to admin areas, other customers' Instances, or our infrastructure.
6. Use the Website or the Services to store or process content that is illegal in your jurisdiction, or to misrepresent or impersonate InventDB Software LLP.
7. On InventDB SOAR, attempt to bring your own LLM API key (BYOK) for the AI Canvas — all bundled AI usage must route through the InventDB AI Gateway so we can guarantee model quality.

Subscription & payment

• Subscriptions are priced per Instance, per month, billed monthly in advance. One subscription = one Instance. Subscribers needing multiple Instances (for example, separate development, staging, and production environments) require a separate subscription for each. There is no free tier and no multi-Instance discount.
• Each tier is a transparent, fixed bundle. On InventDB SOAR, the tier price bundles the platform fee, the AWS hosting allocation, and the AI usage allocation (AI inference via the InventDB AI Gateway). On InventDB Serverless there is no AI component — you pay for the database (platform fee plus hosting allocation).
• The bundled hosting and AI usage amounts are fixed components of the published tier price set by the Licensor; they are not a contractual undertaking that they equal current vendor list pricing, and we do not pass through vendor list-price changes in real time. We may update tier prices and bundled component amounts with at least 30 days' prior notice.
• Any included or topped-up AI usage allocation is an InventDB platform usage entitlement — usable only within the Services, only while your subscription is active, and only by your own Instance. It is not transferable Anthropic or Bedrock credits, not redeemable elsewhere, and not refundable. Unused allocation rolls forward while the subscription is active and is forfeit on cancellation, suspension, or termination.
• All fees and bundled amounts are exclusive of applicable taxes. Subscription fees and top-ups are non-refundable; you may cancel future renewals at any time.
• Failure to pay by the due date may result in suspension or termination of your Instance. Data export remains available during a 30-day grace period after cancellation.

Your data, backups & termination

You retain ownership of the data you import or create in your Instance. We process it only to provide the Services, as described in our Privacy Policy. You are responsible for keeping your account credentials secure and for activity under your account.

• We maintain encrypted backups of Business-tier Instances daily, retained 30 days.
• You may request a full export of your data in CSV / JSON / Parquet format at any time during your subscription.
• Upon termination, we retain your data and backups for 30 days, after which all copies — including backups — and your encryption key are destroyed or rendered cryptographically unrecoverable.

AI features & third-party providers

This section applies to InventDB SOAR only. The AI Canvas connects to Anthropic via the InventDB AI Gateway operated by the Licensor. You acknowledge:

• Your prompts and the records, schemas, or document text needed to answer them are transmitted from your Instance through the AI Gateway to Anthropic for inference.
• The Gateway operates with the no-training opt-out applied at the Anthropic API level — your data is not used to train any model.
• We do not store, log, or retain the content of your AI prompts or responses beyond what is necessary for invoice line-item accounting (token counts, costs).
• You are responsible for ensuring your use of the AI Canvas complies with applicable data-protection laws (GDPR, CCPA, DPDP, and others).

InventDB Serverless has no built-in AI: the database never reasons over your data. Any AI agent you connect over MCP is external and governed by that agent's own provider. The Website and Services may also link to or rely on other third-party providers (AWS, Razorpay, and others); we are not responsible for the content or practices of third-party sites.

Intellectual property

All content on the Website and in the Services (text, graphics, code) is owned by or licensed to InventDB Software LLP. The InventDB brand, the InventDB SOAR and InventDB Serverless product names, and the logo are trademarks of InventDB Software LLP. Your subscription grants you the right to use the Services; it does not transfer ownership of the software or brand.

Warranties & liability

THE WEBSITE AND THE SERVICES ARE PROVIDED "AS IS" AND THE LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Pricing and feature information may be updated; the plan and subscription terms you accept at signup govern the actual service you receive.

IN NO EVENT WILL THE LICENSOR'S AGGREGATE LIABILITY UNDER THESE TERMS EXCEED THE FEES YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Governing law

These Terms are governed by the laws of the jurisdiction in which InventDB Software LLP is incorporated. Disputes shall be resolved in the courts of that jurisdiction.

Changes

We may update these Terms with at least 30 days' prior notice to the email on file for your subscription. Continued use of the Website or the Services after the effective date of an update constitutes acceptance.
